Welcome to Elevate Small Business. These Terms of Service (“Terms”) govern your access to and use of the Elevate Small Business website, platform, and services (collectively, the “Services”) operated by Elevate Small Business and its affiliate UpliftProcure (“we”, “us”, or “our”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms are supplemented by our End-User License Agreement, Privacy Policy, and Data Processing Agreement.
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our End-User License Agreement, and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Elevate Small Business provides a platform connecting businesses, capital providers, procurement buyers, and advisory organizations. Our Services include but are not limited to:
- Business profile management and visibility
- Access to capital and financing opportunities
- Procurement and contract opportunities
- Advisory and technical assistance services
- Data analytics and reporting tools
- Integrations with third-party accounting and financial platforms (including QuickBooks Online) for automated data synchronization and analysis
- AI-assisted financial analysis, account categorization, and business intelligence
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.
3. Account Registration
To access certain features of the Services, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information, or that violate these Terms.
4. User Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Misrepresent your identity, business information, or certifications
- Submit false, misleading, or fraudulent information
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use the Services to transmit spam, malware, or other harmful content
- Scrape, harvest, or collect data from the Services without permission
- Violate the intellectual property rights of others
5. Business Information and Certifications
If you submit business information, certifications, or other credentials through the Services, you represent and warrant that all such information is accurate and that you have the right to submit it. You understand that other users and organizations may rely on this information in making business decisions.
We reserve the right to verify any information you submit and to remove or flag information that we believe to be inaccurate or misleading.
6. Intellectual Property
The Services and all content, features, and functionality (including but not limited to text, graphics, logos, and software) are owned by Elevate Small Business or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you submit to the Services, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Services.
7. Third-Party Services and Connected Integrations
The Services may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party services.
The Platform allows you to connect third-party accounting, financial, and business platforms (“Connected Services”), including QuickBooks Online (Intuit), to enable data synchronization and analysis. By connecting a Connected Service, you:
- Authorize us to access, retrieve, store, and process data from that service on your behalf
- Acknowledge that your use of each Connected Service is also governed by that provider's own terms of service and privacy policy
- Accept responsibility for ensuring data in your connected accounts is accurate — we do not independently verify data retrieved from Connected Services
- Retain the right to disconnect any Connected Service at any time through the Platform's integration settings

8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee any specific results from use of the Services.
We do not endorse, guarantee, or assume responsibility for any business, capital provider, buyer, or other user of the Services. Any transactions or interactions between users are solely between those parties.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEVATE SMALL BUSINESS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Elevate Small Business and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.
11. Termination
We may terminate or suspend your account and access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting us at support@elevatesb.com. Termination of your account does not relieve you of any obligations incurred prior to termination.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Suffolk County, Massachusetts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Services and updating the “Updated” date above. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with our End-User License Agreement, Privacy Policy, and Data Processing Agreement, constitute the entire agreement between you and Elevate Small Business regarding the Services and supersede all prior agreements and understandings.
